TERMS AND CONDITIONS

1.    OBJECT

1.1.    These terms and conditions govern the use of software and the services provided by Legal Suite through its website, which is accessible through the URL: https://www.legal-suite.com (the “Website”), and/or provided by Legal Suite in the context of a software trial. They cannot be modified without the prior written consent of Legal Suite. 

1.2.    These terms and conditions complement the terms of use that govern the use of the Website. The Website terms of use are accessible at the following link: https://www.legal-suite.com/terms-of-use.htm

1.3.    By using the software and/or the services provided by Legal Suite, you acknowledge, accept and agree to comply with these terms and conditions and the Website terms of use

2.    SERVICES AND ACCESS TO SERVICES 

2.1.    The software and services provided by Legal Suite are identified on the Website. 

2.2.    In order to access the software and services and obtain a license for the use thereof, you must create an account, read and accept the applicable terms of use and subscribe to the services. 

2.3.    Any customized requests will be set forth in a commercial proposal.


3.    TRIAL OF SOFTWARE AND SERVICES

3.1.    Legal Suite may provide access to a trial environment free of charge in order to allow you to try the software and services. Your business is entitled to a single trial platform for the Trial Period.

3.2.    Access to the trial environment is made available for a period of fifteen (15) days from the date that the trial account is created (“Trial Period”). The Trial Period may, however, be renewed with the express written consent of Legal Suite.

3.3.    Legal Suite may suspend or terminate access to the software and services at any time and at its sole discretion.

3.4.    Upon expiration or termination of the Trial Period, you may subscribe to the software and services for your business by executing a software agreement.

 

4.    INTELLECTUAL PROPERTY

4.1.    Legal Suite and its licensors retain all intellectual property rights in the software, services, and documentation related thereto.

4.2.    You will not commit an act that directly or indirectly violates any intellectual property rights belonging to Legal Suite or its licensors. 

5.    OBLIGATIONS OF THE PARTIES

5.1.    Legal Suite does not offer any warranty whatsoever regarding the software and services. It is solely responsible for making the software and services available for trial purposes.

5.2.    You are solely responsible for the following:

a)    your use of the software and services. 
b)    the quality of your internet connection. 
c)    compliance with any applicable laws and regulations.

6.    GOVERNING LAW AND DISPUTE RESOLUTION

6.1.    These terms and conditions will be governed by and construed in accordance with the laws of France and not the conflict of laws principles.

6.2.    In the event of a dispute regarding the software and/or services, you and Legal Suite will attempt to resolve the dispute amicably and in good faith before undertaking legal proceedings. 

6.3.    Any action at law or in equity arising under this Agreement will be filed only in the courts having exclusive jurisdiction where the head office of Legal Suite France is located. The Parties hereby consent and submit to the exclusive personal jurisdiction of such courts for the purposes of litigating any such action.

7.    ENTIRE AGREEMENT

7.1.    These terms and conditions and the Website terms of use constitute the entire agreement of the parties with respect to the subject matter hereof, supersedes all prior or contemporaneous oral or written communications, and representations with respect to its subject matter, except for any representations set forth in a commercial proposal.

7.2.    Legal Suite may, at its sole discretion, amend these terms and conditions and the Website terms of use from time to time. In the event that you continue to use the software and/or services after they have been amended, you will be deemed to have accepted any applicable amendment(s).
